1. Introduction & Acceptance

These Terms and Conditions govern your use of Creative Ads' website and services. By accessing or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, you must not use our services.

2. Services Provided

Creative Ads provides digital marketing, web design, web development, graphic design, and related digital services. Specific service details, deliverables, timelines, and pricing will be outlined in separate service agreements or proposals. We reserve the right to modify or discontinue any service with 30 days' notice.

Important: All services are subject to availability and our standard service procedures.

3. Client Responsibilities & Obligations

As a client of Creative Ads, you agree to:

Provide accurate, complete, and timely information necessary for service delivery
Review deliverables and provide constructive feedback within agreed timelines
Ensure compliance with all applicable laws and regulations
Provide necessary access credentials, content, and resources for project completion
Make timely payments as outlined in service agreements
Use deliverables only for their intended purpose as specified in agreements

4. Payment Terms & Billing

Payment terms are outlined in individual service agreements. General payment terms include:

50% deposit required to commence work on most projects
Balance due upon project completion or as per milestone payments
Invoices are payable within 15 days of issuance
Late payments may incur a 2% monthly interest charge
All fees are in USD unless otherwise specified
Client is responsible for any bank transfer fees or transaction charges

Payment Schedule Example:

5. Intellectual Property Rights

All intellectual property rights, including copyrights, trademarks, and trade secrets, remain the property of Creative Ads until full payment is received. Upon final payment, the client receives a limited, non-exclusive license to use the final work product for its intended purpose.

Important: Source files, design assets, and proprietary code remain Creative Ads' property unless specified otherwise in writing.

6. Project Timeline & Delays

Project timelines are estimates based on client cooperation and timely feedback. Delays caused by:

Client's failure to provide required information or content
Multiple revision requests beyond agreed scope
Client's failure to respond to communications within 48 hours
Changes to project scope or requirements
May result in timeline extensions and potential additional charges

7. Limitation of Liability & Indemnification

Creative Ads' total liability for any claim arising from our services shall not exceed the amount paid by the client for those specific services. We are not liable for:

Indirect, incidental, or consequential damages
Loss of profits, revenue, or data
Third-party claims arising from client's use of our services
Issues resulting from client-provided content or specifications

Important: Client agrees to indemnify and hold Creative Ads harmless from any claims arising from their use of our services.

8. Termination & Cancellation

Either party may terminate a service agreement with 30 days' written notice. In case of termination:

Client is responsible for payment for all completed work
Any deposits become non-refundable
All work in progress will be delivered in its current state
Intellectual property rights remain with Creative Ads until full payment
Client must cease using any Creative Ads materials upon termination

Termination Consequences:

• Completed work must be paid in full
• Deposits are non-refundable
• Work stops immediately upon termination

9. Confidentiality & Data Protection

Both parties agree to maintain the confidentiality of any proprietary information shared during the service period. Creative Ads complies with applicable data protection laws and maintains appropriate security measures to protect client data.

Important: We do not share client information with third parties except as necessary to provide services or as required by law.

10. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with applicable laws. Any disputes shall first attempt to be resolved through mediation. If mediation fails, disputes will be settled through binding arbitration.

Governing Law: Laws of Bangladesh
Mediation: Required before legal action
Arbitration: Binding and final
Venue: Dhaka, Bangladesh
Costs: Each party bears its own costs unless determined otherwise

11. Changes to Terms

Creative Ads reserves the right to modify these Terms at any time. We will notify clients of significant changes via email or website announcement. Continued use of our services after changes constitutes acceptance of the modified Terms.

Important: It is the client's responsibility to review these Terms periodically for updates.

Acceptance of Terms

By using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you are accepting these Terms on behalf of a company or organization, you represent that you have the authority to bind that entity.
